Disclosed is an ungelled, modified chlorinated polyolefin resin suitable for providing a highly adherent solvent resistant film, on a thermoplastic polyolefin substrate. The modified chlorinated polyolefin resin is prepared by grafting an unsaturated polycarboxylic acid and/or an unsaturated acid anhydride onto a chlorinated polyolefin resin to form an acid- and/or anhydride-modified chlorinated polyolefin resin. The resulting acid- and/or anhydride-modified chlorinated polyolefin resin is reacted with an organic monohydric alcohol to form an esterified product containing acid functionality.
